Terms & Conditions of Service Caelix

Section 1 — General Provisions
Caelix is an AI-powered strategic broker and operational proxy platform that provides business intelligence services based on artificial intelligence, curates strategic opportunities, a marketplace for professional services, and operational monitoring and execution systems ("Services"). Caelix is managed and operated by PT Dunia Hobi located at Jl. Pakubuwono VI No.5, RT.8/RW.4, Kebayoran Baru District, South Jakarta City, Special Capital Region of Jakarta 12120 hereinafter referred to as "Service Provider".
Individuals accessing the Caelix website, application, and/or digital platform are hereinafter referred to as "Accessors". Accessors are referred to as "Members" and may begin using the Services of the Service Provider through the Caelix Platform once they have:
Read and agreed to these Terms & Conditions of Service;
Completed the registration and membership verification process;
Completed the payment stage with the total fee paid in full according to the type of membership and/or service selected.
The Caelix Platform is all channels and/or online software that Members can use to access the Services, including but not limited to:
The official Caelix website and all its subdomains ("Site");
Applications distributed and operated by the Service Provider that run on Microsoft Windows, Linux and its variants, macOS, iOS, and Android ("Application");
Official WhatsApp Business chat application owned by the Service Provider ("WhatsApp");
Official employee email of the Service Provider with a domain ending in @caelix.id ("Email");
Online meeting applications including but not limited to Zoom, Google Meet, and Microsoft Teams with links previously informed through the Site, Application, WhatsApp, and/or Email ("Online Meeting").
Intelligent Navigator is an AI system owned by the Service Provider that functions as an intelligence, validation, and operational execution engine consisting of three levels: Caelix Compass, Caelix Flow, and Caelix Meridian.
Strategic Marketplace is a curated ecosystem of strategic services by the Service Provider, including Growth Programs, Coaching & Mentorship (Core Circle), Caelix Network, and Caelix Privé.
Individuals who are responsible on behalf of the Members are referred to as "Member Representative". Members are required to appoint one Member Representative who is responsible for being the liaison for updates on information, data, and documents related both directly and indirectly to the Services received. If there is a change in the Member Representative, the Member must notify the Caelix representative via Email.
The services provided by the Service Provider are in accordance with policies, rules, and internal procedures that may change from time to time at its discretion.
The Service Provider may change the provisions in the Terms and Conditions of Service at any time. Such changes are effective once displayed on the Site and/or on the Caelix Platform. Members have the responsibility to review the Terms and Conditions of Service regularly. Any such changes, whether reviewed or not by the Member, will remain in effect and binding on every Member using the Services from the Service Provider.
For any changes to the provisions in the Terms and Conditions of Service, the Service Provider will make every effort to notify Members through the Caelix Platform or via Email sent to the Member Representative. In the event that there is a separate agreement made between the Service Provider and the Member, the articles created will refer to these Terms and Conditions.
By registering and using the Services of the Service Provider, the Member declares that the Member has read and understood these Terms and Conditions of Service and is deemed to have the authority to act on their own behalf, represent someone or a group of people, represent an organization, or represent any other registered entity to use the Services of the Service Provider.
The Terms and Conditions of Service apply as a valid and binding agreement between Members and the Service Provider.
Section 2 — Terms of Service
The Service Provider offers related Services AI-Based Business Intelligence, Curating & Validating Strategic Opportunities, Professional Services Marketplace, Monitoring & Operational Execution, as well as Project Management & Governance as stated on the Service Provider's Site.
Core Services — Intelligent Navigator consists of three tiers:
Caelix Compass ("Scout & Engage"): A proactive intelligence engine for discovering and reaching out to potential prospects — including potential clients, vendors, and strategic partners — with validated intent and needs data. Supports up to 10 agents/AI models and 50 data sources.
Caelix Flow ("Operate & Optimize"): An AI-based project management and operational monitoring system for real-time multi-project progress tracking, bottleneck or anomaly detection, corrective action recommendations, interactive Q&A features, automated periodic reports, and comprehensive reporting dashboards. Supports up to 30 agents/AI models and 100 data sources.
Caelix Meridian ("Master & Customize"): Enterprise-level orchestration and governance for cross-departmental collaboration, complex risk modeling with probability scoring, and multi-source orchestration with unlimited scalability and full API/MCP access.
Connectivity Modules (Add-Ons):
Caelix Connect: For executing commands externally (Outbound Command Execution) through various channels.
Caelix Respond: For handling inbound interfaces (Inbound Interface Handling) to filter inquiries and facilitate Q&A from external parties autonomously.
Strategic Marketplace Services includes:
Growth Programs: Structured programs for business acceleration based on business engineering and operational engineering curated from consultants and industry practitioners with proven frameworks.
Coaching & Mentorship (Core Circle): Coaching and mentoring sessions provided by senior mentors or expert practitioners with a proven track record.
Caelix Network: Member-driven activity marketplace for networking nights, micro-expos, strategic meetups, and affiliate gatherings.
Caelix Privé: Reciprocal marketplace connecting members in need of premium venues with those who have underutilized assets.
Services provided and rendered by Service Providers can only be ordered by Members and delivered by Service Providers through the Caelix Platform.
Service Providers are not responsible, will not acknowledge, and will not follow up on any communication and/or correspondence made by either Members or employees of Service Providers using means outside the Caelix Platform, and all such communication and/or correspondence will be the sole responsibility of the Members.
Service Provider working hours are from 08:00 to 17:00 Western Indonesia Time on Business Days.
The Service Provider's Working Days are Monday to Friday each week, excluding national holidays and joint leave. However, the service Intelligent Navigator and AI Concierge remain operational automatically 24 hours a day, 7 days a week, with limited technical team support outside of working hours for critical incidents.
Section 3 — General Rights & Obligations of Caelix
A. The Service Provider has the RIGHT to:
Unilaterally determine the terms and conditions of its Services and may change or update the terms and conditions of its Services at any time without requiring the approval of Members.
Collect and use Member data in accordance with the applicable Privacy Policy.
Use the data provided by Members for the purpose of:
Data processing and business intelligence analysis;
Aligning strategic opportunities with Member profiles;
Validating and curating opportunities, partners, and providers;
Monitoring and tracking implementation progress;
Reporting and impact measurement;
Training and improving AI models (in the form of anonymous and aggregate data).
Conducting evaluations and validations of the suitability of the Services chosen by Members with actual conditions and needs. In the event of discrepancies, the Service Provider has the right to recommend a replacement Service and charge for the difference (if there is a difference).
Terminate Services to Members who violate the Terms and Conditions of Service.
Determining the price for the Services as stated on the Site, Proposal, or Electronic Offer Letter and providing discounts to Members as desired by the Service Provider.
Billing for the Services selected by Members using the available payment channels before delivering the Services, unless there is a specific assessment provided by the Service Provider to the Members to allow payment after the Services are delivered.
Protecting intellectual property rights and trademarks, including but not limited to:
The name and logo "Caelix";
Product names: "Intelligent Navigator", "Caelix Compass", "Caelix Flow", "Caelix Meridian", "Caelix Connect", "Caelix Respond";
Service names: "Strategic Marketplace", "Growth Programs", "Core Circle", "Caelix Network", "Caelix Privé";
All AI models, algorithms, and systems developed by the Service Provider.
Determining the limitations on the use of Services by Members according to the chosen membership level.
For promotional activities, training, or similar business purposes, mentioning the name of the Member as a user of the Services while considering confidentiality obligations.
B. The Service Provider has the OBLIGATION to:
Provide quality Services that meet the established standards.
Provide accurate and transparent information about its Services.
Protect the privacy and personal data of Members in accordance with the Privacy Policy and applicable laws and regulations.
Prevent the misuse of Services, including but not limited to spamming, fraud, or using data for illegal purposes.
Handling technical issues and ensuring that the Service remains available and stable, with a reasonable availability (uptime) target.
Responding to Member complaints and issues quickly and accurately.
Complying with all applicable laws and regulations in the Republic of Indonesia.
Conducting strict curation of every provider, partner, and opportunity entering the Strategic Marketplace, including verification of track records and validation of credibility.
The Service Provider will not be liable if the Member acts based on recommendations or advice previously given by the Service Provider without first confirming with the Service Provider that the recommendations are still relevant, considering any changes in business conditions, regulations, or the Member's situation.
The Service Provider will not be liable for losses arising from changes in market conditions, regulations, or legal interpretations occurring after the date of the recommendations or advice given.
Section 4 — Rights & General Obligations of Members
A. Members have the RIGHT to:
Obtain clear and transparent information about the Services provided.
Receive Service results in accordance with the data and information provided or other matters regulated in the Terms and Conditions of Service.
Access and use the Services in accordance with the terms and conditions and the level of membership chosen.
Obtain access rights and utilize the Services of the Service Provider through the Caelix Platform based on the type of Service chosen. This right is non-transferable and limited according to the provisions.
Obtaining privacy protection and security of personal data in accordance with applicable privacy laws.
Providing feedback and filing complaints regarding the Services received.
Ceasing to use the Service Provider's Services at any time in accordance with the service termination provisions.
Requesting a basic explanation regarding the logic of the automated system used in the Intelligent Navigator Service, without disclosing trade secrets or the system's source code.
Obtaining priority access and/or special rates for participating in activities in the Caelix Network and Caelix Privé.
B. Members have the OBLIGATION to:
Legal Compliance: Members will comply with all applicable laws, regulations, and legislation in Indonesia in every business activity of the Member involving the Service Provider. Members acknowledge that tax evasion, money laundering, bookkeeping fraud, double bookkeeping practices, and other illegal actions are illegal acts and will not be undertaken by the Member.
Business Integrity: Members will conduct business with integrity and high ethics. Members will not engage in actions that harm the Service Provider, other parties, or the government. Members will avoid any form of fraud, abuse, or actions that harm others or create dishonesty in the Member's business activities.
Cooperation with the Service Provider: Members will cooperate with the Service Provider and communicate openly and honestly in all interactions with the Caelix Platform. Members will provide accurate and relevant information to assist the Service Provider in delivering good and appropriate Services.
Privacy and Data Security: Members will maintain the privacy and security of the data that Members share with the Service Provider. Members will comply with applicable privacy policies and will not access or disclose unauthorized data.
Financial Responsibility: Members will pay membership fees and/or service fees in accordance with the agreed terms.
Social Responsibility: Members will uphold a positive image as members of Caelix by supporting social responsibility and adhering to the business ethics promoted by the Caelix ecosystem.
Consequences of Violations: Members understand that the Service Provider has the right to terminate the Service or membership relationship if Members violate these integrity principles or if Members do not comply with applicable laws in Indonesia.
Account Security: Ensuring that the username and password required to access the Service Provider's Services are stored securely and confidentially. Members must promptly notify the Service Provider of any unauthorized use of the password, and the Service Provider will set a new password for the Member.
Fair Use: When accessing and using the Service Provider's Services, Members must not:
Use or misuse the Services in any way that may disrupt other Members' ability to use the Services or the Caelix Platform;
Attempt to gain unauthorized access to any material other than what has been clearly stated that the Member has permission to access;
Sending anything to the Caelix Platform that can damage someone else's computer hardware or software, offensive materials, or any illegal materials or data (including data or materials protected by copyright or trade secrets to which the Member does not have the right to use).
Prohibition of System Abuse: Members are prohibited or not permitted to abuse, make changes, modify, manipulate the system, reverse engineer, and/or hack the Caelix Platform or Intelligent Navigator, including but not limited to attempts to exploit, manipulate input data (data poisoning), or conduct adversarial attacks against the AI model.
Ecosystem Reciprocity: Members participating as providers in the Strategic Marketplace (as Hosts in the Caelix Network, Coaches/Mentors in the Core Circle, or Venue Providers in Caelix Privé) must maintain quality, credibility, and integrity standards in line with the curation set by the Service Provider.
Section 5 — Pricing, Membership & Payment
The price for each Service is as stated on the Service Provider's Site, Proposal, or Electronic Offer Letter.
The prices listed on the Site as well as in the Proposal and Electronic Offer Letter may change at any time according to the Service Provider's policy.
The prices listed on the Site are the prices before Value Added Tax (VAT) in accordance with applicable regulations.
Members are required to make full payment according to the invoice value from the Service Provider. If a Member has an obligation to withhold Income Tax Article 23 to the Service Provider, then the Service Provider will pay the Income Tax Article 23 after receiving the Withholding Tax Evidence Article 23 from the Member.
The Service Provider uses electronic payment channels, and all costs arising from these payment services will be charged to the Member.
Membership Model: Caelix provides subscription-based membership tiers tailored to the scale of the organization and the needs of the Members:
Each transaction in the Strategic Marketplace (Growth Programs, Coaching & Mentorship, Caelix Network, Caelix Privé) may incur separate fees according to the applicable terms for each service. Revenue sharing between the Service Provider and the provider is governed by a separate agreement.
Section 6 — Force Majeure
No Party shall be liable for any failure to perform its obligations as set forth in the Agreement if the performance of such obligations is hindered or delayed due to "Force Majeure".
Force Majeure is an event or circumstance that is beyond control, without any fault or negligence of, and cannot be prevented by taking reasonable actions by the affected Party ("Affected Party"), which includes, among others:
Mass riots, civil war, rebellion, power struggles, war with other countries, or terrorism;
Earthquakes, floods, fires, volcanic eruptions, droughts, extremely severe weather conditions, or other natural disasters;
Industrial disputes or strikes;
System disruptions (including but not limited to payment systems or other services provided by third parties), electricity, telecommunications, service providers (including internet), and other matters beyond Caelix's control;
Changes in laws or government policies that materially affect the implementation of the Services.
In the event of a Force Majeure, the Affected Party must promptly notify the other Party, if possible within 3×24 hours after the occurrence of the Force Majeure, and clearly outline the nature of the Force Majeure that occurred along with supporting data or relevant evidence.
In the event of a Force Majeure and the Affected Party experiences obstacles in fulfilling its obligations under the Agreement, the Parties agree to meet to seek a solution and agree on necessary changes to the Agreement. Negligence or errors by either Party in fulfilling its obligations under the Agreement solely caused by the Force Majeure shall not be considered a breach of the provisions of the Agreement, provided that the Affected Party has made every effort to take action within its capacity to meet the terms and conditions.
A Force Majeure does not release either Party from liability for any obligation arising before the occurrence of the Force Majeure.
Section 7 — Termination of Services
If a Member wishes to terminate the Services that have been previously ordered and paid for to the Service Provider, the Member may submit a service termination request via WhatsApp and Email.
The application can be submitted on the condition that the Service Provider has not yet sent the data and information related to the intended Service.
In the case where a request for a refund of the Service fee that has been paid is submitted after the Service Provider has made a request for data and information related to the relevant Service, the Member is considered to have unilaterally canceled the order and the paid Service fee will not be refunded.
If there is a refund ("refund"), then a maximum of thirty (30) Days after the termination request is approved, the Service Provider will send the refund via bank transfer.
The amount of the refund will be deducted by 15% of the total value that has been paid.
All costs arising from the refund process will be charged to the Member.
For the purpose of terminating this Agreement, the Parties agree to waive the provisions of Article 1266 of the Civil Code to the extent that it stipulates that court approval is required to terminate the Agreement.
Specifically for Subscription Services: Members may terminate the subscription with written notice at least 30 (thirty) days before the next subscription period. Termination does not eliminate the Member's obligation to complete payments until the end of the current period.
Section 8 — Confidentiality
The Service Provider is committed to striving for the protection of the confidentiality of Member Data ("Confidential Information") in accordance with the provisions of these Terms and Conditions of Service and not using the Data for any purpose other than for the benefit of the operation of the Service Provider's Services. The Data here does not apply to Personal Data that:
One party can prove that it lawfully possessed the Data prior to its disclosure and was not obtained from the disclosing party or another party bound by confidentiality obligations;
The Data has become public knowledge without violating applicable law;
Has become information known to the public, not due to a breach by the receiving party or its representatives;
Data was lawfully obtained by another party without confidentiality restrictions from other sources;
The Data is required to be disclosed by court order, court judgment, arbitrator's decision, government institution, government official, or according to applicable law; and/or
Data that can be proven in writing to have been independently developed by the receiving party without using Personal Data disclosed by the disclosing party.
The Service Provider has the right to obtain, collect, and store Data from and/or through the Caelix Platform, phone, obtained from tools, systems, or resources of the Service Provider.
Confidential Information includes all information provided by Members either in writing, electronically, or orally, including personal identity information representing each party, but does not include information that has become or will become public.
The Service Provider has the right, for the purposes of promotional activities, training, or similar business purposes, to mention the name of the Member as a user of the Service, while observing the obligation of the Service Provider not to disclose confidential information as mentioned above.
The Parties hereby agree and declare that all content, data, information, documents, or data in any form conveyed in oral, printed, written, graphic, magnetic, or photographic form or in any form from the disclosing Party to the other Party, other information related to business, products, and services in connection with this Agreement and its implementation, including client/consumer data, data of the Service Provider, or any applications owned by the Service Provider are confidential data and/or documents ("Confidential Information"), both during the term of the Agreement and after the Agreement has ended.
Each Confidential Information will remain the property of the Party disclosing the Confidential Information and the disclosure of such Confidential Information does not grant any rights to the Party receiving the Confidential Information (including rights to intellectual property) over the Confidential Information.
The Member is obliged not to disclose or inform about the Confidential Information of the Service Provider without prior written consent from the Service Provider, unless the Confidential Information must be disclosed to the authorized party as required or based on the laws or regulations applicable in Indonesia, which must be followed by written notice to the Service Provider regarding the disclosure to the authorized party.
The party receiving the Confidential Information agrees and is willing to immediately and promptly, upon request from the party disclosing the Confidential Information, return any Confidential Information held by the party receiving the Confidential Information to the party disclosing the Confidential Information, and is willing to delete or destroy any Confidential Information held by the party receiving the Confidential Information.
The provisions regarding confidentiality will remain in effect even if the Agreement is terminated.
The security and confidentiality of the Member's account, including the registered name, registered email address, registered mobile phone number, and payment details, are the sole responsibility of the Member. All losses and risks arising from the Member's negligence in maintaining the security and confidentiality as mentioned are borne by the Member. The Service Provider will consider any use or order made through the Member's account on the Caelix Platform as a legitimate request from the Member.
Section 9 — Representations & Warranties
The Parties have full power, authority, and legal rights to create and execute the Agreement and any other documents and/or agreements.
Any Member Representative using the Service Provider's Services for and on behalf of the Member is a person competent under the law and has full authority and power to:
Use the Service Provider's Services;
Access the Service Provider's Services;
Select, create, and place orders; and
Conduct transactions with the Service Provider.
Members release the Service Provider from all claims, lawsuits, costs, losses, damages, and losses arising as a result of the Member's violation of the Terms and Conditions of Service, or any obligations that the Member may have to the Service Provider.
Members guarantee that, if registering to use the Service on behalf of another person, the Member has the authority to agree to these terms on behalf of that person, and agrees that by registering to use the Service of the Service Provider, the Member binds the person they represent to, or with the intent to, take action on their behalf to any obligations that the Member has agreed to in these Terms, without limiting the Member's own obligations to its provisions.
Members acknowledge that they have the authority to use the Service and the Caelix Platform, and to access the information and data that they input into the Caelix Platform, including any information or data entered into the Caelix Platform by anyone they have authorized to use the Service of the Service Provider. Members are also authorized to access information and data that has been processed, which is provided to Members through their use of the Caelix Platform and the Service of the Service Provider.
Members acknowledge that the Service Provider is not responsible to anyone other than the Member, and there is no intention in this Agreement to benefit anyone other than the Member.
Members acknowledge that determining whether the Service Provider's Services meet the business needs of the Member and can be used for the intended purpose is the Member's own responsibility. The Service Provider does not guarantee its Services and does not warrant that the Service Provider's Services will meet all of the Member's needs, or that they will be suitable for the purposes intended by the Member.
Limitations of Liability of Intelligent Navigator: Members acknowledge that Intelligent Navigator is an AI-based system that provides recommendations and analysis based on available data. The final business decisions remain with the Member. The Service Provider is not responsible for business decisions made by the Member based on AI recommendations without manual verification and confirmation.
Limitations of the "Proxy" Role: The term "Operational Proxy" in the context of Caelix Services is technical-operational, referring to the delegation of workflow and communication within the parameters set by the Member. This term does not grant legal authority or legal representation to the Service Provider on behalf of the Member.
Annex 2 — Terms of Service for Strategic Marketplace
A. General Terms of the Marketplace
The Strategic Marketplace is an ecosystem of strategic services curated by Service Providers, where Service Providers act as curator and platform that connects Members with professional service providers.
Service Providers do not create or provide programs/content in Growth Programs, Coaching & Mentorship, Caelix Network, and Caelix Privé themselves, but act as curators and a marketplace that:
Conducts quality curation of providers and offerings;
Provides AI Matching through Intelligent Navigator;
Provides implementation monitoring and impact measurement;
Facilitates transactions between Members and providers.
Providers remain the owners of the intellectual property over their frameworks, methodologies, and content. Service Providers act as resellers/curators.
Each transaction in the Strategic Marketplace is subject to the specific terms of each service and agreements made separately between Members and providers, with Service Providers as facilitators.
Service Providers have the right to conduct periodic evaluations and curation of providers and offerings in the marketplace. Providers that do not meet quality standards may be removed from the marketplace.
B. Caelix Network
Caelix Network is a member-driven activity marketplace where Members can become Host (event organizers) or Seeker (event seekers).
Types of activities that can be hosted include: Networking Nights, Micro Expos & Showcases, Strategic Meetups, and Affiliate Gatherings.
Members who become Hosts are fully responsible for the content, materials, and execution of the events they organize. The Service Provider provides platform support, AI matching, and promotional infrastructure.
Members who become Seekers gain access to Smart Discovery to find events relevant to their profiles and business goals.
Members receive benefits in the form of special rates (harga khusus) to participate in every activity organized within the Caelix Network.
Host-without-Resource: Members who wish to hold events but are constrained by resources can utilize the Execution Support services from Caelix, including assistance in finding venues (via Caelix Privé), guest list curation, promotion, and logistics coordination. Additional fees may apply.
Annex 3 — Provisions of the Artificial Intelligence & Automation System
Definition: "Artificial Intelligence System" refers to algorithm-based software, machine learning, or deep learning used by the Service Provider to analyze data, make recommendations, or automate Members' business processes. This system includes all components of the Intelligent Navigator (Compass, Flow, Meridian) as well as the Connect and Respond modules.
Data Usage for Model Training: The Service Provider may use anonymous and aggregate data from Members to improve the performance of the AI system, as long as it does not violate the confidentiality of information as stipulated in Section 8.
Data and Output Ownership: All member data remains the property of the Member. The output from the AI system generated from Member data can be used by the Member in accordance with the terms of service, but does not grant ownership claims over the system or the AI model itself.
Transparency and Control: The Service Provider will provide a basic explanation of the logic of the automated system if requested by the Member, without disclosing trade secrets or the source code of the system.
Responsibility for System Errors: The Service Provider is not fully responsible for decisions made entirely by the automated system if manual confirmation has been provided by the Member, but is obligated to monitor, evaluate, and periodically improve the system.
Periodic Audits and Evaluations: Members have the right to request an audit of the AI system used for its services, including evaluation of algorithmic bias and prediction accuracy, with written consent and mutually agreed costs.
AI System Security: The Service Provider is required to implement adequate security controls to prevent adversarial attacks, input data manipulation (data poisoning), or exploitation of the AI model.
Prohibition of Critical Autonomous Decision-Making Without Approval: Any autonomous system making important financial, legal, or strategic decisions must have a manual approval mechanism from the Member Representative before execution.
System Updates and Maintenance: The Service Provider is obligated to periodically update the AI system to ensure accuracy, compliance with regulations, and protection against new threats.
Operational Cycle: Intelligent Navigator operates within an integrated cycle of Ask → Plan → Execute → Review that is continuous. Each phase in this cycle may involve manual intervention by Members according to the established configuration.
AI Concierge: The AI Concierge service is available to all Members without limits and functions to anticipate needs, schedule, remind, and connect Members with relevant resources in the Caelix ecosystem.
Annex 4 — Terms of Coaching & Mentorship Services
Core Circle is a coaching and mentoring service provided by senior mentors or expert practitioners ("Growth Partner") who have a proven track record in specific industries.
The Service Provider acts as a curator and platform that:
Conducts AI-driven matching between Members (as Client/Seeker) and appropriate Growth Partners;
Provides an Assessment Builder to map business conditions and identify gaps;
Provides post-session implementation monitoring through Intelligent Navigator;
Measures the financial impact of coaching through Financial Impact Mapping.
The Growth Partner is an independent party that offers their services through the Caelix platform. The Service Provider is not responsible for the content of advice, suggestions, or recommendations provided by the Growth Partner, but is obligated to curate and conduct initial validation of their credibility.
Members who become Client/Seeker are entitled to:

Growth Partners offering services through the Core Circle are entitled to:
AI Prospecting Engine to find suitable clients;
Structured Validation Pipeline to align expectations;
Real-time Monitoring Co-pilot to monitor client progress;
Measurable Impact Proof to build data-driven credibility.
Fees for coaching/mentorship sessions are governed by a separate agreement between Members and Growth Partners, with revenue sharing between Growth Partners and Service Providers according to applicable regulations.
Annex 5 — Caelix Privé Service Terms
Caelix Privé is a reciprocal marketplace that connects Members in need of premium venues ("Venue Seeker") with Members who have underutilized assets ("Venue Provider") — including workspaces, lounges, retail areas, and event spaces.
Four Types of Venues:
Work Space: Dedicated desks, private offices, creative production rooms;
Meeting & Networking: Curated restaurants, multipurpose rooms, executive lounges, social clubs;
Activation: Flexible areas and event zones for short-term activities;
Retail: Professional retail environments for longer-term brand residency.
Venue Providers are fully responsible for:
The accuracy of the description, capacity, facilities, and availability of the registered venue;
The physical condition and security of the venue;
Compliance with applicable regulations (licensing, safety, etc.).
The Venue Seeker is fully responsible for:
The use of the venue in accordance with the agreed terms;
Damage arising from the use of the venue;
Compliance with the rules set by the Venue Provider.
The Service Provider provides:
AI-driven matching between venues and needs;
Workflow automation for scheduling and booking;
AI Concierge for logistics coordination;
Monitoring utilization and portfolio optimization.
The Service Provider is not responsible for disputes arising between the Venue Provider and the Venue Seeker, but will facilitate resolution through the mechanisms available on the platform.
Annex 6 — Terms of Service for Growth Programs
Growth Programs are structured programs for business acceleration based on business engineering and operational engineering curated from consultants and industry practitioners with proven frameworks ("Provider").
Growth Programs are not courses, workshops, or directories of consultants, but rather a curated AI-based ecosystem that connects companies with proven frameworks to close specific growth gaps in a measurable way.
Four Core Categories:
Scaling & Structuring: Strengthening organizational DNA, operational readiness, and measurable expansion;
Alliance & Ecosystem Orchestration: Non-equity partnerships for business acceleration (channel partner, technology integration, co-creation framework, vendor alignment);
Governance & Readiness: Governance system, structural credibility, compliance framework, audit-ready;
Capital & Exit Readiness: Valuation positioning, due diligence system, M&A, and exit strategy preparation.
Scope Limitations: The Alliance category focuses on operational partnerships and capabilities. Equity/M&A deals are exclusively in the Capital & Exit Readiness category.
Service Providers act as a curated marketplace that:
Runs AI-Driven Matching to align organizational gaps with the most relevant framework/provider based on structural fit;
Conducts pre-deal validation through assessment, background check, and risk scoring;
Provides implementation monitoring through the Ask → Plan → Execute → Review cycle;
Measures the real impact (impact measurement) of program adoption on Member businesses.
Providers remain the owners of the intellectual property over their frameworks and methodologies. Service Providers act as resellers/curators with a revenue sharing model.
Members purchase validated strategic outcomes with measurable ROI, not consulting hours.
Costs for Growth Programs are outlined in a separate Proposal or Electronic Quotation for each program.

By using Caelix Services, Members declare that they have read, understood, and agreed to all terms in these Terms & Conditions of Service along with all accompanying Annexes.
